Terms of sale

These terms govern professional subscriptions to and use of the wefid loyalty platform.

wefid is a B2B service published by LE DEPOT Studio SRL. The Plan details shown before an order supplement these terms.

1. Purpose and definitions

wefid is published by LE DEPOT Studio SRL, established at Bd de l’Empereur 10, 1000 Bruxelles, Belgique, company number 1002.812.625, VAT BE1002812625. These terms apply solely to individuals and entities acting for professional purposes, referred to as the “Merchant”.

“Platform” means the wefid SaaS service and its interfaces. “Account” means the Merchant’s professional space. “End Customer” means a person participating in the Merchant’s loyalty programme. “Plan” means the package selected before ordering.

2. Acceptance and contractual documents

Creating an Account and subscribing to a Plan constitutes acceptance of these terms. Features, limits, prices, duration and billing frequency shown before ordering or included in an accepted offer are special terms and prevail in case of conflict.

3. Account and access

The Merchant provides accurate, current information, protects credentials and controls staff access. Suspected unauthorised access must be reported promptly. Actions performed through the Merchant’s access remain its responsibility unless caused by a failure attributable to wefid.

4. wefid service and Plans

The Platform may include loyalty programme management, digital cards, visits, points, stamps, rewards, team access, analytics and communications. Only features included in the subscribed Plan are owed. Previews, prototypes and features described as future or under consideration are not contractual.

The customer-facing mobile application for chains and franchises is not currently available. It is a potential roadmap item and carries no commitment regarding delivery, scope or timing.

5. Prices and invoicing

Prices are stated in euros excluding VAT unless indicated otherwise. The amount, billing period, charge or due date and usage limits are shown before ordering. Third-party fees and custom development are included only when expressly stated.

wefid may change its prices. A change affecting an existing subscription is notified at least thirty days before the relevant renewal. The Merchant may disable renewal before that date.

6. Payment

Online payments are processed by Stripe. wefid does not store full payment-card details. Payment is charged when the free trial ends and at each renewal date of the selected Plan.

Following notice, persistent non-payment may lead to suspension until payment is settled. Statutory interest and compensation under Belgian rules on late payments between businesses apply where relevant.

7. Term, renewal and termination

The Plan’s term and billing frequency are shown before ordering. Termination takes effect at the end of the current contractual period: monthly, six-monthly or annually depending on the selected Plan. The Plan remains available and payable until that date. No started period is refunded pro rata unless required by law.

Termination is completed through the Account where available or by written request to [email protected]. Either party may terminate for a material breach that remains unremedied within a reasonable period after written notice.

8. Offers, trials and withdrawal

Each first subscription includes a fourteen-day free trial. No subscription fee is charged during that period. The Merchant may cancel before it ends without being charged. Otherwise, the selected Plan starts automatically after the trial and Stripe charges its price according to the selected billing frequency.

The free trial is limited to one first subscription per Merchant. Unless a separate offer expressly says otherwise, wefid does not provide a money-back guarantee once the paid period has started.

The Merchant subscribes for professional purposes. Consumer withdrawal rights therefore do not apply. Service performance may begin as soon as the Account is activated.

9. Merchant obligations

  • Use the service lawfully and in accordance with these terms.
  • Properly inform loyalty members and obtain any required permission.
  • Do not send unlawful, misleading, discriminatory or unsolicited content.
  • Offer rewards that can be honoured and supply them to eligible members.
  • Manage employee access and maintain accurate data.

10. Suspension and prohibited use

wefid may suspend an Account for persistent non-payment, a security threat, fraudulent use, a serious breach of these terms or clearly unlawful activity. Except in an emergency or where prohibited by law, the Merchant is informed and given a reasonable opportunity to remedy the issue.

11. Availability and third-party services

wefid provides the service using reasonable care and may perform maintenance. Some features rely on third parties, including Wallet services, hosting, telecommunications, email and payment providers. Their interruption or modification may temporarily affect the Platform.

12. Intellectual property

The Platform, code, interface, content and wefid brand remain protected by their owners’ intellectual-property rights. The Merchant receives a limited, non-exclusive and non-transferable right to use the service during its subscription.

The Merchant retains its brands, content and data and grants wefid only the limited permission needed to host, display, technically adapt and transmit them to provide the service.

13. Personal data and processing

For Account, billing and commercial-relationship data, LE DEPOT Studio SRL acts as controller. Further details appear in the privacy policy.

For End Customer and staff data processed within the Merchant’s programme, including identifiers, contact details, visits, points, stamps, rewards, preferences, campaigns and activity logs, the Merchant is controller and wefid is processor under Article 28 GDPR.

wefid processes those data only on documented Merchant instructions, with configured use of the Platform constituting an instruction. wefid ensures confidentiality, appropriate security, assistance with data-subject rights and breaches, and deletion or return at the end of the service subject to stated retention periods and legal obligations.

The Merchant generally authorises subprocessors needed to provide the service. The Merchant must have a lawful basis, inform End Customers and comply with marketing rules when using notifications or campaigns.

14. Liability

The Merchant remains responsible for its loyalty programme, promised rewards, content, obligations towards End Customers and lawful communications. wefid does not guarantee attendance, revenue or profitability.

To the extent permitted by law and except in cases of fraud, gross negligence or liability that cannot be limited, wefid is liable only for proven direct loss attributable to it. Total liability is capped at the amounts excluding VAT paid by the Merchant during the twelve months preceding the event.

15. Force majeure

Neither party is liable for a failure caused by an event reasonably beyond its control, including widespread network failure, cyberattack, disaster, public-authority decision or major failure of an essential supplier. The affected party informs the other and reasonably mitigates the impact.

16. Changes to these terms

wefid may update these terms. A material change affecting an existing subscription is notified at least thirty days before taking effect. If it adversely affects the subscribed service, the Merchant may disable renewal before the next term.

17. Governing law, disputes and contact

These terms are governed by Belgian law. The parties first seek an amicable solution by writing to [email protected]. Failing agreement, the courts of the judicial district of Brussels have jurisdiction, subject to mandatory rules.
